Privacy Notice

Introduction

This Privacy Notice (“Notice”) applies to you if you: purchase or use Products or Services of or create an account with Reimagined Parking Inc., its affiliates (including entities operating under the following brand names: Impark, Lanier Parking, Republic Parking, AmeriPark and Park One; collectively “the Company,” “we” or “us”); access or use our websites (“Sites”) that display or link to this Notice; download or use our mobile applications (“Apps”) that display or link to this Notice; own or operate a vehicle that accesses or uses a parking facility or service we operate; provide, or authorize another person or organization to provide Personal Information (defined below) to us; sign up to receive or respond to our promotional emails or other marketing activities; or apply for a career opportunity with us.

This Notice describes our policies and practices concerning our collection, usage, storage and sharing of Personal Information that you submit or that we obtain in connection with your use of our Products and Services. This Notice also describes the rights and choices you have regarding your Personal Information. In some circumstances, at the time of collection of your Personal Information, we may provide you with additional information regarding our handling of your Personal Information.

Reference to our “Products and Services” includes the parking facilities we manage or operate (“Parking Facilities”), services and related equipment we own or operate (e.g., valet parking services, transportation shuttle services, parking/payment gates, meters and kiosks), devices (e.g., access cards and transponders), and our websites and mobile applications.

By using the Products and Services, including, without limitation, by entering one of the Parking Facilities, you indicate your understanding of and consent to our collection, use, disclosure, sharing, and retention of your information, subject to the terms of this Notice. If you do not consent to the collection, use, and sharing of your information as described in this Notice, do not use our Products and Services or provide us with such information.

If you are a California resident, you may have additional rights. Please see our Notice for California Residents section below for more information.

Your Consent

This Notice informs you of the purposes for which we collect your personal information. This Notice is made available to you when we collect your personal information, including when you purchase or use our Products and Services, by means appropriate to the collection channel. By using or continuing to use the Products and Services and/or providing (or authorizing another person or organization to provide) your personal information to us, you consent to the collection, use, disclosure, sharing, and retention of your Personal Information by or on behalf of the Company for the purposes described in this Notice and as permitted by, and subject to, applicable law.

Except to the extent we otherwise obtain your consent or as permitted or required by law, we will handle your Personal Information collected through our Products and Services, or our Sites and/or Apps, in accordance with the terms of the Notice in effect at the time of such collection.

You may withdraw your consent at any time, subject to legal or contractual restrictions and on reasonable notice to us, but then you might not be able to proceed with your intended interactions or transactions with us or otherwise receive the full benefit of our Products and Services. In that case we will delete, deidentify, or aggregate your personal information when it is no longer reasonably required for the purposes described herein or as otherwise required by applicable law, to the extent that we are not legally required or otherwise permitted to continue to hold such data. The process for withdrawing consent is described more fully below.

Interpretation and Definitions

Interpretation

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

Personal Information – Definition

The nature of our business requires that we gather and maintain certain information of a personal nature. When you access or use the Products and Services, we may collect information that identifies, relates to, describes, is reasonably capable of being associated with, or could reasonably be linked, directly or indirectly, with you or a particular person or household (“Personal Information”). Some examples of Personal Information we may collect include name, IP address, telephone number, e-mail address, physical address, employer (such as when we have a contractual relationship with your employer), driver’s license information, and payment information.

Personal Information does not include (to the extent permitted by applicable law) information that is: anonymized (including as a result of aggregation) or deidentified so that the information cannot be directly or indirectly associated with you or an identifiable individual; business contact information that enables an individual to be contacted at a place of business; not subject to regulation, including publicly available information (such as that found in a telephone directory) or information that is public by law, as applicable.

If you are applying to work for the Company, then in the process of application, vetting, interview, and onboarding we will communicate to you separately our need to collect and use any personal information from you that is not covered in this Notice.

Personal Information – Usage Purposes

How We Use Your Data

We will use the information we collect about you only for the purpose for which it was collected, for legitimate and/or compatible business purposes, as permitted or required by law, as necessary to carry out our contractual duties and obligations, or as otherwise provided in this Notice. We may use your data:

  • To provide you with the Products and Services.
  • To respond to your requests for information about the Company or relating to activities, opportunities, events, services, or products appearing on the Sites or the Apps.
  • To communicate with you. We may send you messages about the availability of our Products and Services, Sites, Apps, or security or other service-related issues. Please be aware that you cannot opt out of receiving service messages from us, including security and legal notices related to your ongoing use of or open requests pertaining to the Products and Services.
  • For other everyday business purposes, such as, for example, refinement and development of Products and Services, contract management, maintenance and administration of our information technology platforms, fulfillment, analytics, fraud prevention and preventing other violations of law, corporate governance, reporting, and legal compliance.
  • For advertising and marketing purposes, and to inform you of the Products and Services, events, or activities that we think may be of interest to you. For example, we may send you announcements, surveys, and newsletters using any communications preferences you have designated. We may provide these communications via email, postal mail, online advertising, social media, telephone, text message (including SMS and MMS), push notifications, in-app messaging, and other means. If you no longer wish to receive marketing or promotional communications from the Company, you have the option of unsubscribing from our mailing list for that type of communication.
  • To facilitate contests, sweepstakes, and promotions, and process and deliver entries and rewards.
  • To confirm whether your information is accurate and to personalize our communications to you. For example, we may aggregate your Personal Information with data from third-party sources for purposes of keeping information up to date. We may also rely on information from third parties to provide better, more personalized Products and Services. If you connect your social media services or other accounts to our Products and Services, we may use this information to make your experiences with us more personal and social, or share and use it as described elsewhere in this Notice.
  • To respond to law enforcement requests and as required by applicable law, court order, governmental regulations, or other lawful processes.
  • To process communications to us from data subjects generally, or to process applications for employment, as well as to evaluate and improve our recruiting efforts.
  • As necessary or appropriate to protect the rights, property, security, and safety of our business, our employees, our customers, our information and other systems, and the public.
  • To carry out our obligations and enforce our rights including those arising from any contracts entered into between you and the Company, including for billing, payment, and collections of unpaid debts, including, without limitation, using your Personal Information to obtain, ourselves or by or through third-party vendors that we engage, personally identifiable information about you (for example, license plate recognition data) from governmental entities where permitted by applicable law.
  • For any other uses described to you at the point of data collection.

We do not sell your Personal Information to any third-party advertisers for their advertising.

Personal Information – Collection

We may collect information from a variety of sources to provide and operate our Products and Services, carry out our business, comply with the law, and other purposes described herein.

  • Information You May Provide. When you use our Products and Services or correspond with us, we collect certain Personal Information. Personal Information collected in this manner may include your name, postal address, zip code, email address, telephone or mobile number, username and password, and payment information; it may also include the make, model, and color of your car, your license plate number, driver’s license information, or other government-issued identification documentation. To subscribe to newsletters, e-blasts, e-news, respond to surveys, contact us, or request information, we may ask you to provide your name, email address, and/or postal address, for example. If you respond to a job posting or apply for employment with us, we collect the Personal Information you provide in your application, resume, and other communications and submissions to us.
  • Information From Third Parties. We may receive Personal Information from other sources. For example, if you connect your social media account(s) to your account with us, the social media site may share information with us about your use of their services, including information about your profile, contacts, and viewed or liked content. We encourage you to read the applicable privacy policies for your social media accounts. We have no responsibility for and are not liable for the data collection and use practices of those social media sites. Some of our Products and Services may be provided through or by one of our third-party partners. For example, if you reserve a parking spot at one of our parking facilities through a third-party parking aggregator site or app, the third party will provide us with information necessary to identify that your you have paid to park your vehicle at the applicable parking facility, such as your name, vehicle make, and/or license plate number.
  • Information Collected Through Automated Technologies. We and our service providers also collect Personal Information and other data through automated data collection technologies, such as cookies or pixel tags. This information tells us about how people use our Products and Services so that we can analyze their effectiveness and provide you with a better web or app experience. We collect and use this information through a variety of technologies, as discussed below.

a. Statistical Data To monitor the use of our Products and Services and improve their quality, certain information is gathered automatically and stored in log files. This information may include:

  • IP address
  • Operating system version
  • Browser version
  • Device information, including identifiers
  • Internet service provider
  • The pages visited on our Site or Apps
  • The length of time spent on pages on the Site or Apps
  • Search terms used in search engines that resulted in a visit to our Site

b. Cookies and Other Tracking Technologies

  • We may use technologies such as cookies, pixel tags, and browser analysis tools, to recognize you when you return to our Sites and to help us improve the quality of our service when you visit our Sites. We may also use cookies and related technologies to tailor our products and services to suit your personal interests, estimate our audience size, track visits to our Sites, and, as applicable, process your requests.
  • “Cookies” are small files that are placed on your computer, mobile device or any other device by a website, containing the details of your browsing activity on that website among its many uses.
  • A cookie contains a unique alphanumeric identifier that websites use to help identify unique visitors to our Sites, and other information such whether those visitors are repeat visitors, and the source of the visits. You may control cookies, including preventing or stopping the installation and storage of cookies, through your browser settings and other tools. Please note that certain features of our Sites may not be available if cookies have been disabled. Please refer to the Help feature of your browser for information on disabling cookies.
  • We may also use pixel tags (another type of cookie also referred to as web beacons or clear GIFs), which are tiny invisible graphic images, in the Sites. Pixel tags may be used by us to count users who have visited its web pages and for related website statistics (for example, recording the popularity of certain website content and verifying system and server integrity).
  • We may also collect location information, which may include records of the dates and times you utilized particular Parking Facilities, the spot where you parked at particular Parking Facilities, and when you entered and exited particular Parking Facilities.
  • Some of our email or text communications to you may contain a “click-through URL,” which links to content on our Sites. When you click one of these URLs, it passes information through our web server before you arrive at the destination web page. We track this click-through data to help determine interest in particular Products and Services and measure the effectiveness of our communications. If you prefer that we not receive this information, do not click on text or graphic links in emails or texts you receive from us.


c. Third Party Analytics

  • We use applications supplied by third parties, such as Google Analytics, to evaluate usage of our Sites and Apps. We also may use other analytic means to evaluate our Products and Services. We use these tools to help us improve the user experience. These applications and other analytic means may use cookies, tracking pixels, and other tracking technologies to accomplish the purposes for which they are used. The service providers from which we obtain these applications and other analytic means may transfer the information they collect or receive to third parties in case of a legal obligation or if a third party processes data on behalf of those service provider.

d. License Plate Data 

  • At the physical locations that we operate or manage, we may use license plate recognition technology to view and collect license plate data, or we may manually view and collect license plate data, from the vehicles of customers entering those locations.

e. Do Not Track

  • “Do Not Track” is a draft standard developed by the World Wide Web Consortium designed to allow you to set your internet search browser to send a signal to a website that you do not want the website operator to track certain browsing information about you. Our Sites and Apps are not equipped to respond to Do Not Track requests at this time.

In the 12 months preceding the Last Update, we have collected the following categories of Personal Information from customers (this does not mean all of these categories apply to every customer):

In the case of customers of RPI, this sub-category of Personal Information under certain laws refers to driver’s license information and financial information that reveals a customer’s account log-in, financial account, debit card, or credit card number in combination with any required security or access code, password, or credentials allowing access to an account.

Commercial information

Records of products or services purchased, obtained or considered, or other purchasing or consuming histories or tendencies.

Internet or other similar network activity

Browsing history, search history, and information on a customer’s interaction with a website, application, or advertisement.

Sensory data

Audio, electronic, visual, or similar information.

Inferences drawn from Personal Information and other data

Profile reflecting a person’s preferences, characteristics, psychological trends, predispositions, behavior, attitudes, intelligence, abilities, and aptitudes.

Information – Sharing

In general, we will not disclose the Personal Information we collect through our Products and Services except as described in this Notice or as otherwise permitted or required by applicable law. We may disclose your data for the same reasons that we may use it as described in this Notice, which includes disclosing it to our affiliates and third-party vendors as we deem necessary to carry out those purposes. We do not sell or share Personal Information to third parties for purposes of cross-contextual behavioral advertising.

  • Demographic Information. We may disclose on an aggregated, de-identified basis, demographic information to investors and other interested stakeholders who require such information.
  • Third Party Partners. Our third-party partners may include, without limitation, service providers, landlords, parking and other facility owners, operators, and administrators where you receive Products and Services, or your employer that uses us to provide you with an employee benefit or privileges related to parking. Other third parties that perform services on our behalf may include certain vendors, including marketing companies, professional service providers, parking lot enforcement vendors, debt collectors, information technology providers, payroll and benefits managers, and data processors and storage companies. We may also authorize our partners, service providers, and other vendors to collect personal information on our behalf. We may disclose your information to our third-party partners:
    • With your consent or as you direct;
    • To manage the Sites and Apps, including protecting their security or integrity;
    • To provide you with Products and Services;
    • To manage our relationship with our partners, service providers and vendors where we provide Products and Services to you;
    • To provide you with offers or opportunities;
    • To manage your relationship with our partners, service providers, and vendors who you have an ongoing relationship with (for example, your employer who provides you with a parking benefit or privilege);
    • To enhance our Products and Services by, among other methods, obtaining assistance with providing more personalized Products and Services to you through analytics and other technologies;
    • To fulfill our obligations or enforce our rights under relevant laws, rules, regulations, or contracts (whether implied or expressed);
    • To protect our interests and legal rights, such as by responding to subpoenas or investigating, defending, enforcing, or prosecuting legal claims;
    • To collect unpaid fees and other debts; and
    • To protect against and prevent fraud, illegal activity (such as identifying and responding to incidents of hacking or misuse of the Sites and Apps), and claims and other losses and liabilities.
  • Change in Control or Sale. We may share, transfer, assign, convey, or license Personal Information in connection with certain business transactions, such as a sale of assets, sale of equity securities, acquisition, financing, merger, reorganization, change in control, other transaction, or in preparation for any of these events. In such cases, we will attempt to obtain the recipient’s commitment to providing privacy protections substantially similar to those established by this Notice to the extent reasonably practicable under the circumstances. Any entity that acquires the Company, whether by purchase of equity securities, purchase of assets, acquisition, financing, merger, reorganization, change of control, or other transaction, will have the right to continue using your data consistent with this Notice, the acquiror’s policies and procedures, or as otherwise agreed to by you.
  • Social Media Plugins. Our Sites or Apps may use social media plugins (e.g., Facebook, Twitter, and LinkedIn) to enable you to easily share information with others. When you visit our Sites or use our Apps, the operator of the social media plugin can place a cookie or script on your device, enabling that operator to recognize computers, phones, or other devices that have been used to previously visit our Sites or use our Apps. If you are logged into the social media site while browsing our Sites or using our Apps, the social media plugins allow that social media site to share data about your activities on our Sites or Apps with other users of their social media site. For example, Facebook Social Plugins allow Facebook to show your Likes and comments on our pages to your Facebook friends. Facebook Social Plugins also allow you to see your friends’ Facebook activity on our Sites or Apps. We do not control any of the content from the social media plugins. For more information about plugins from social media sites, you should refer to those sites’ privacy and data/information sharing statements/policies.

 In the 12 months preceding the Last Update, we may have disclosed the following categories of customer Personal Information for a business purpose:

  • Identifiers;
  • Personal information categories including some listed in the California Customer Records statute (California Civil Code § 1798.80(e));
  • Commercial information;
  • Internet or other similar network activity;
  • Location data and license plate data (e.g., data indicating that a vehicle was present at a particular parking lot, on a particular day, and at a particular time);
  • Sensory data; or
  • Inferences drawn from Personal Information and other data.

Links to Third-Party Sites

We may provide links to websites or resources operated by third parties outside of our Sites or Apps. You acknowledge and agree we are not responsible for the availability of such websites or resources and do not endorse and are not responsible or liable for any content, advertising, goods, products, services, or other materials on, available through, or provided by such websites or resources. We are not responsible for the privacy, data security, or other practices of such websites or resources, and cannot guarantee the security of any Personal Information that you provide to or is collected by such websites or resources. We encourage you to review the privacy policies, data security policies, and terms and conditions on all linked websites and resources before you provide any Personal Information or complete any transactions with such website or resources.

Information of Minors

We do not knowingly solicit, collect, store, or use Personal Information from children under the age of 13 without prior verifiable parental consent. If we become aware that a child under 13 has provided us with Personal Information without such consent, we would remove such information and terminate the child’s account. Data Security – Safeguarding of Information

We have taken commercially reasonable physical, administrative, and technical measures to help protect the information we collect against unauthorized access, use, or disclosure. While we strive to maintain the integrity and security of our networks and systems, no data transmission or storage system can be guaranteed to be fully secure. As a result, while we strive to protect information transmitted on or through the Products and Services, or on or through the Sites or Apps, we cannot and do not guarantee or warrant the security of any information you transmit on or through the Products and Services, or on or through the Sites or Apps, and you do so at your own risk.

Data Retention

We retain your Personal Information only for the period of time needed to fulfill the purposes stated in this Notice or as required by applicable legal, regulatory, or operational needs. We will retain and use your Personal Information to the extent necessary to comply with our legal obligations, resolve disputes, enforce our rights, legal agreements, and policies, and perform other legitimate business needs including collection of unpaid fees and other debts. We will delete, deidentify, or aggregate your personal information when it is no longer reasonably required for the purposes described herein, or, where applicable, when you withdraw your consent or request erasure as permitted by applicable law, to the extent that we are not legally required or otherwise permitted to continue to hold such data.

We may use your personal information to create and collect aggregated, deidentified, or anonymized data, so that the information no longer relates to an identifiable individual, directly or indirectly. We may use, disclose, transfer and retain information that is no longer considered to be Personal Information in accordance with applicable law.

Severability If any provision of this Notice is found to be invalid by a court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Notice, which shall remain in full force and effect.

Jurisdiction for Disputes

In the event of a dispute arising under this Notice, such dispute shall be subject to the exclusive jurisdiction and venue of the federal or state courts located in the State of New York.

Changes to this Notice

From time to time we may change our privacy policies and this Notice. Changes will be effective immediately upon posting to our Sites and/or Apps and will apply to your use of our Products and Services after the “Last Update.” Please check our Site periodically for updates. You understand and agree that your continued use of our Products and Services, or our Sites and/or Apps, after the Last Update means that the collection, use, and sharing of your information is subject to the updated Notice.

Your Choices Regarding Your Personal Information

You can always limit the information you directly provide to us, but if you choose not to provide certain requested information, you may be unable to access some of our Products and Services, or our Sites and/or Apps, including functionality and content on the Sites and the Apps.

You can also limit the communications that we may send you by following a simple opt-out or unsubscribe process. Simply follow the instructions in our email, newsletter, or other communications to opt out of receiving, or unsubscribe from, future communications. Please note that even if you opt out of certain communications from us, we may still contact you with important information about your use of our Products and Services, or our Sites and/or Apps, which are not marketing communications.

Notice to Site Users Located Outside the United States

The Company is based in the United States and operates primarily in the United States and Canada.  When you access our Sites or Apps, we may transfer the Personal Information that we collect from you to a location outside of your jurisdiction, including to the United States. The data protection laws in these jurisdictions may not provide you with the same protections as those of your jurisdiction. By using our Products and Services, or our Sites or Apps, you acknowledge that these laws may provide a different standard of protection, and you consent to your Personal Information being transferred to other jurisdictions, including to the United States.  The Company will take all steps reasonably necessary to ensure that your data is treated securely and in accordance with this Privacy Policy and no transfer of your Personal Data will take place to an organization or a country unless there are adequate controls in place including the security of your data and other personal information.

Notice for California Residents

This section applies only to California residents. It supplements and amends the information contained in the Notice with respect to California residents. The other provisions of the Notice continue to apply, except as modified in this California section.

Right to Know

Subject to certain limits, you may ask us to provide the following information for the 12-month period preceding your request:

(1) The categories of Personal Information we collected about you;

(2) The categories of sources from which the Personal Information was collected;

(3) The business or commercial purpose for collecting Personal Information;

(4) The categories of third parties with whom we shared the Personal Information;

(5) The specific pieces of Personal Information we collected about you (also called a data portability request);

(6) If we disclose Personal Information for a business purpose, a list of the disclosures and the Personal Information categories that each category of recipient received;

(7) If we sold Personal Information for a business purpose, a list of the sales and the Personal Information categories that each category of recipient purchased.

Right to Delete

You have the right to ask us to delete Personal Information that we have collected about you, subject to certain limitations as set forth under California law. We may deny your deletion request if the information is necessary for us or our service providers to, among other things, complete a transaction for which the Personal Information was collected, provide a good or service you requested, take actions reasonably anticipated in the context of our ongoing business relationship with you, perform a contract we have with you, detect and protect against security incidents or illegal activity, comply with a legal obligation, or exercise a right provided for by law.

Right to Opt-Out of Sale or Sharing

You have the right to request that a business that sells or shares a customer’s Personal Information, or that discloses it for a business purpose, disclose to you:

  • The categories of Personal Information that we collected.
  • The categories of Personal Information that we sold or shared about you and the categories of third parties to whom the Personal Information was sold or shared, by category or categories of personal information for each category of third parties to whom the Personal Information was sold or shared.
  • The categories of Personal Information that we disclosed about you for a business purpose and the categories of persons to whom it was disclosed for a business purpose.

You further shall have the right, at any time, to direct us not to sell or share your Personal Information.

Right to Correct

You have the right to ask us to correct inaccurate Personal Information that we have, taking into account the nature of the personal information and the purposes of the processing of the personal information.

Right to Limit Use and Disclosure of Sensitive Personal Information

You have the right, at any time, to direct Us to limit our use of your sensitive personal information to that use which is necessary to perform the services or provide the goods reasonably expected by an average customer who requests those goods or services.

Right to Nondiscrimination.

We will not discriminate against you if you exercise your privacy rights under California law, including by:

  • Denying you goods or services.
  • Charging you different prices or rates for goods or services, including through granting discounts or other benefits, or imposing penalties.
  • Providing you with a different level or quality of goods or services.
  • Suggesting that you may receive a different price or rate for goods or services or a different level or quality of goods or services.

To protect your privacy and security, we will also take reasonable steps to verify your identity before providing your Personal Information and before deleting your information. Only you or someone legally authorized to act on your behalf may make a verifiable request related to your Personal Information. Responses to Requests. We do not charge a fee to respond to your request unless it is repetitive (more than twice in a 12-month period) or excessive. We will respond to your request within 45 days of its receipt. If we need more time to fulfill your request, we will inform you of the reason in writing or via email and we may take up to an additional 45 days to complete fulfilling your request.
